SÆVER / AHANGAMA, SRI LANKA

Beyond the investment.
Inside the business.

Your ownership, the company’s progress and the decisions shaping its future.

COMPANY CONTEXT · FOUNDER-REPORTED

$300,000 invested.

Three investors have invested $100,000 each. BOL has completed area research and branding, and verified multiple potential land options. A lease will be secured once funding is complete. BOL will operate the business.

How to read this demo

The company context above and your stated equity, reserve and voting rules are supplied by BOL. All accounts, operating figures, proposals and activity below are illustrative. The operating-quarter scenario is a future simulation, not SÆVER’s current performance. No money, votes or applications are sent.

01 / MY INVESTMENT

SAMPLE ACCOUNT
OWNERSHIP ≠ VOTING POWER

The agreement, at a glance.

Investors · 80%BOL · 20%

80% of company equity is allocated to the full investment round. Your equity = your investment ÷ total required investment × 80%.

BOL retains 20% equity but receives no dividends until all original investors have recovered their initial investment through distributions. Investors keep their shares after capital recovery.

US$1,109,157.28 funds the 80% investor equity allocation, including $48,609.28 in opening working capital. The $300,000 reserve is built from operating profits. Voting examples assume 22 investor voting units; the actual unit count depends on individual holdings.

ILLUSTRATIVE OPERATING QUARTER
Quarterly sales$180,000Sample operating revenue
Operating costs$120,000Sample · excludes taxes & capital spending
Reserve target before dividends$300,000Built from operating profits
Potential distribution poolAfter obligations and reserve

Quarterly dividend illustration

The $300,000 reserve is built from operating profits, not raised upfront. No dividends are paid until eligible cash exceeds that reserve after obligations. Surplus is then distributed quarterly.

Demo assumes $30,000 of outstanding obligations. Quarterly eligible surplus preserves $300,000 in reserves. Before all original capital is recovered, 100% of distributions goes to investors; afterwards, investors receive 80% and BOL receives 20%. Cash above the floor alone does not establish distributable profit.

Your distributions

Distributions credited toward capital recovery do not cancel your shares. No return or payout date is guaranteed.

SIMULATED PROPOSAL
PROPOSAL 001 · MATERIAL CHANGE

Add a dedicated recovery room.

Sample proposal to reallocate $40,000 of a future approved fit-out budget to a recovery room. The change would require the company’s agreed investor approval process.

  • Cost: $40,000 · illustrative
  • Proposed funding: existing fit-out allocation
  • Condition: preserve the $300,000 reserve
No real vote is open. Approval thresholds, quorum, eligible holders and treatment of partially funded rounds are still to be agreed. The demo records a choice without declaring a binding outcome.

How voting is allocated

Investors · 60%BOL · 40%

Every full $50,000 invested earns one investor voting unit. BOL holds 40% of total voting power. The investor units share the other 60%.

Voting units are distinct from equity shares. Fractional voting units are not awarded in this demo. Discussion access requires $10,000 invested. All three accounts receive reporting, documents and role-application access. Advisory appointments require a separate agreement.
